General Terms and Conditions (GTC) – Ivana Models
1. Provider, Definitions and Scope of Activity
(1) The provider of this website and of the mediation and coordination services offered through it is Feyza Sütlü, trading under the name “Ivana Models”.
(2) For the purposes of these GTC, a “User” is any adult natural person who accesses, visits, views, uses, or contacts Ivana Models through the digital platforms, online presences, online marketing measures, or other communication channels provided or used by Ivana Models.
(3) For the purposes of these GTC, a “Model” is any adult, self-employed natural person who is presented, promoted, or showcased to Users through Ivana Models, or who is in contact with Ivana Models for such purpose.
(4) Under the name “Ivana Models”, the provider operates an online presence in which self-employed Models are presented for advertising and informational purposes.
(5) In addition, Ivana Models receives inquiries from Users, forwards them to the respective Models, and supports the organizational communication and coordination between the parties involved.
(6) Ivana Models does not itself provide any personal services, but acts exclusively as a mediation and coordination office.
(7) The use of the digital platforms, online presences, communication channels, or other contact options of Ivana Models does not in itself establish any contractual relationship between the User and Ivana Models regarding personal services of a Model.
(8) Any agreement regarding personal services shall—if concluded at all—be concluded exclusively between the respective User and the respective Model.
2. Scope of Application
(1) These GTC apply to the use of the digital platforms, online presences, online marketing measures, and other communication channels provided or used by Ivana Models.
(2) These GTC further apply to all contacts, inquiries, communication processes, as well as organizational support and coordination services initiated, received, processed, forwarded, or accompanied through Ivana Models.
(3) These GTC govern exclusively the activity of Ivana Models as the operator of the digital presence and as a mediation and coordination office.
(4) These GTC do not govern the content, execution, or success of personal services, meetings, or other arrangements between Users and Models.
(5) Any agreement regarding personal services shall—if concluded at all—be concluded exclusively between the respective User and the respective Model.
(6) Any differing general terms and conditions of the User shall not apply unless Ivana Models expressly agrees to their validity in text form.
3. Nature and Extent of Ivana Models’ Activity
(1) Ivana Models operates digital platforms, online presences, and other communication channels for the presentation, promotion, and organizational support of self-employed Models.
(2) The activity of Ivana Models includes in particular the provision and maintenance of corresponding online presences, the advertising presentation of Models, the receipt and forwarding of inquiries, as well as the organizational communication and coordination between Users and Models.
(3) Ivana Models acts exclusively as a mediation and coordination office.
(4) Ivana Models does not itself provide any personal services and, in particular, does not owe the conclusion, execution, or any specific success of any agreement between User and Model.
(5) Ivana Models is not the provider, organizer, contractual partner, or obligor with respect to personal services rendered by a Model to a User.
(6) Information, communications, availabilities, responses, or confirmations transmitted through Ivana Models are provided exclusively within the framework of organizational communication and forwarding between the parties involved.
(7) To the extent that Ivana Models forwards information, statements, or responses from a Model to a User or from a User to a Model, this is done exclusively as part of its mediation and coordination activity and not in its own name with respect to the personal service.
4. Content of the Online Presence / Non-Binding Nature of Information
(1) All content published or transmitted on the digital platforms, online presences, online marketing measures, or other communication channels of Ivana Models serves exclusively for general information, presentation, promotion, and initiation of contact.
(2) This applies in particular to profiles, descriptions, images, availabilities, location details, time details, travel notes, conditions, fees, minimum booking times, other framework information, and comparable content.
(3) The publication or transmission of such content does not constitute a binding offer by Ivana Models to conclude a contract for personal services.
(4) Likewise, the use of the online presence, contact with Ivana Models, or the submission of an inquiry by the User does not in itself constitute a binding contractual offer to Ivana Models regarding personal services.
(5) All information is subject to the individual arrangement between User and Model, as well as to the respective availability, willingness to accept, and decision of the Model.
(6) Ivana Models does not guarantee that published or transmitted content is complete, correct, up to date, or unchanged in every individual case.
(7) In the event of any personal arrangement, only the content individually agreed between User and Model shall be decisive, provided and to the extent that such an arrangement is concluded at all.
5. Inquiries, Contact and Forwarding
(1) Users may submit inquiries or make contact through the digital platforms, online presences, and other communication channels provided or used by Ivana Models.
(2) Ivana Models receives such inquiries and contacts, processes them within the scope of its organizational procedures, and forwards them to the relevant or potentially suitable Model.
(3) The receipt, processing, or forwarding of an inquiry by Ivana Models does not constitute acceptance by Ivana Models of any declaration aimed at personal services.
(4) To the extent that information, responses, availabilities, or other details are transmitted between User and Model within the course of communication, this takes place exclusively within the framework of Ivana Models’ mediation and coordination activity.
(5) Ivana Models is under no obligation to forward or accompany an inquiry or to ensure its conclusion or success.
6. Communication and Organizational Coordination
(1) Ivana Models may receive, structure, accompany, and forward communication between Users and Models within the scope of organizational procedures.
(2) This includes in particular the transmission of inquiries, responses, availabilities, organizational arrangements, scheduling requests, location details, and other framework information.
(3) To the extent that Ivana Models transmits statements, information, or responses from a Model to a User or from a User to a Model in the course of communication, this is done exclusively as part of its mediation and coordination activity.
(4) In doing so, Ivana Models does not make any statements of its own regarding the content, conclusion, execution, or success of personal services, unless expressly stated otherwise in text form.
(5) Communication conducted through Ivana Models serves the purpose of initiating contact, providing organizational support, and discreetly handling communication processes; it does not in itself establish any separate obligation of Ivana Models with regard to personal services of a Model.
(6) Ivana Models is entitled to refuse, not forward, restrict, or terminate communication processes if there are objective reasons for doing so, in particular in cases of ambiguity, incomplete information, breaches of these GTC, unlawful content, or inappropriate conduct.
7. Prices, Conditions and Other Framework Information
(1) To the extent that information regarding fees, conditions, minimum booking times, travel expenses, availabilities, or other framework conditions is published or transmitted through the digital platforms, online presences, online marketing measures, or other communication channels of Ivana Models, such information serves exclusively as guideline values, general information, and for the initiation of contact.
(2) Such information is based on the respective information of the relevant Model as communicated or published through Ivana Models.
(3) All information regarding prices, fees, conditions, and framework details constitutes non-binding guideline values unless individually coordinated and agreed directly between User and Model in a particular case.
(4) Only the arrangements made in the individual case between the respective User and the respective Model shall be decisive.
(5) Ivana Models does not guarantee that published or transmitted information regarding fees, conditions, availabilities, or other framework conditions is complete, correct, current, or unchanged at all times.
(6) The publication or transmission of such information does not give rise either to any obligation of Ivana Models or to any claim by the User to the conclusion of a particular agreement with a Model.
8. Payments
(1) Ivana Models does not accept payments for a Model’s personal services on behalf of the Model.
(2) All payments in connection with any agreement between User and Model shall be made exclusively between the respective User and the respective Model.
(3) Ivana Models is neither a payment service provider nor a collection office nor a trustee with regard to payments in connection with a Model’s personal services.
(4) The transmission by Ivana Models of payment information, contact details, bank details, wallet details, or other payment-related information takes place exclusively within the framework of organizational communication and forwarding between User and Model.
(5) The transmission of such payment information does not constitute any independent involvement of Ivana Models in the payment process and does not create any responsibility of Ivana Models for the execution, receipt, allocation, availability, reversal, or enforceability of a payment.
(6) Any claims in connection with payments, repayments, refunds, reductions, defaults, or other financial disputes shall exist exclusively between User and Model.
9. Formation and Content of Any Agreement Between User and Model
(1) Any agreement regarding personal services shall—if concluded at all—be concluded exclusively between the respective User and the respective Model.
(2) Ivana Models is not involved in such agreement as a contractual party.
(3) The subject matter, content, scope, timing, duration, place, availability, conditions, and other details of any agreement shall be determined exclusively by the individual arrangements between User and Model.
(4) The receipt, forwarding, transmission, or organizational support of statements, information, responses, or confirmations by Ivana Models does not create any contractual obligation of Ivana Models with respect to the personal service.
(5) Whether and with what content an agreement between User and Model is concluded depends exclusively on their respective intention, coordination, and decision.
(6) Ivana Models owes neither the conclusion nor the execution nor the success of such an agreement.
10. Changes, Cancellations, Postponements and Failures
(1) Changes, cancellations, postponements, delays, unavailability, or failures in connection with any agreement between User and Model concern exclusively the relationship between the respective User and the respective Model.
(2) This applies in particular to changes or failures regarding date, time, place, duration, accessibility, availability, execution, or other framework conditions.
(3) In individual cases, Ivana Models may provide organizational support in communication between User and Model without thereby becoming a contractual party to the relevant agreement.
(4) Such organizational support does not create any obligation of Ivana Models to bring about, secure, restore, or compensate for any cancelled, changed, postponed, delayed, or failed personal service.
(5) Any claims arising from changes, cancellations, postponements, failures, lack of accessibility, non-performance, or other disruptions shall exist exclusively between User and Model.
11. Obligations of Users / Permitted Use
(1) Users are obliged to use the digital platforms, online presences, online marketing measures, and other communication channels provided or used by Ivana Models exclusively in accordance with applicable laws and these GTC.
(2) Users may not transmit or disseminate through Ivana Models’ communication channels any unlawful, insulting, discriminatory, threatening, harassing, harmful to minors, deceptive, or otherwise inappropriate content.
(3) In the context of inquiries, contacts, and other communication processes, Users are obliged to provide truthful and non-misleading information insofar as such information is relevant for processing or forwarding.
(4) Use of the digital platforms and communication channels by minors is prohibited.
(5) Users may not disclose, publish, or otherwise misuse personal data, contact details, or other non-public information concerning Models or other parties without their consent.
(6) It is prohibited to misuse, manipulate, technically impair, or use the digital platforms, online presences, or communication channels provided or used by Ivana Models for unrelated, unlawful, or abusive purposes.
(7) Ivana Models is entitled not to process, not to forward, to restrict, or to terminate inquiries, content, or communication processes in whole or in part if there are indications of a breach of these GTC, statutory provisions, or the legitimate interests of Ivana Models or third parties.
12. Regional Scope / Legal Age
(1) The digital platforms, online presences, online marketing measures, and other communication channels provided or used by Ivana Models are directed exclusively at adult natural persons in Germany, Austria, and Switzerland.
(2) Likewise, any use with reference to legal systems other than those mentioned in paragraph 1 is excluded.
(3) Use by minors is excluded.
(4) By using the digital platforms, online presences, online marketing measures, or communication channels of Ivana Models, the User confirms that they are of legal age and use the offer exclusively within the countries referred to in paragraph 1.
13. Data Protection / Confidentiality / Handling of Information
(1) Ivana Models processes personal data in accordance with the applicable statutory data protection provisions.
(2) Further information on the nature, scope, and purposes of the processing of personal data, as well as on the rights of data subjects, is set out in the separate Privacy Policy of Ivana Models.
(3) To the extent that Ivana Models receives, processes, or forwards information in the course of inquiries, contacts, communication processes, or organizational arrangements, this takes place exclusively within the scope of the mediation and coordination activity described herein.
(4) Users are obliged to treat as confidential any personal data, contact details, and other non-public information concerning Models or other parties that becomes known to them, and not to disclose, publish, or otherwise misuse such information without authorization.
(5) Ivana Models assumes no responsibility for any data protection violations, unauthorized processing, or misuse of information by Users or other third parties outside the sphere of responsibility of Ivana Models.
14. Technical Availability, Content and Amendments
(1) Ivana Models endeavors to ensure the most uninterrupted availability possible of the digital platforms, but cannot guarantee permanent technical accessibility or complete technical freedom from errors.
(2) The content published or transmitted on the digital platforms, online presences, online marketing measures, or other communication channels of Ivana Models is presented with due care; however, no guarantee is assumed for its substantive accuracy, completeness, currency, technical integrity, or continued availability.
(3) This applies in particular also to information concerning profiles, images, descriptions, availabilities, conditions, accessibility, and other published or transmitted information relating to Models.
(4) Ivana Models reserves the right to change, adapt, restrict, or discontinue content, functions, communication channels, as well as these GTC, in whole or in part, at any time with effect for the future.
15. Final Provisions
(1) The law of the Federal Republic of Germany shall apply, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
(2) Should any individual provision of these GTC be or become invalid or unenforceable, the validity of the remaining provisions shall remain unaffected.
(3) Amendments or supplements to these GTC must be made in text form unless a stricter form is required by law.
